Terms of Engagement
The terms and conditions governing our advisory and real estate services.

1. About Us
These Terms of Engagement ("Terms") govern the provision of services by Lutafa Real Estate Group Limited (Company Number 13585453), registered in England and Wales, with its registered office at International House, 6 South Molton Street, London, England, W1K 5QF ("Lutafa", "we", "us").
By engaging our services, you agree to be bound by these Terms.
2. Nature of Services
Lutafa provides real estate advisory, investment facilitation, and related consultancy services. Our services include, but are not limited to:
- Institutional real estate advisory and transaction support.
- Cross-border investment facilitation between the United Kingdom and the Kingdom of Saudi Arabia.
- Shariah-compliant structuring advisory.
- Market research and due diligence support.
- Portfolio strategy and asset management advisory.
Important: Lutafa acts as an advisory and introductory firm. We do not hold client funds, act as a fund manager, or provide regulated financial advice within the meaning of the Financial Services and Markets Act 2000 unless expressly stated in a separate engagement letter.
3. Engagement Process
All formal engagements are governed by a separate Engagement Letter or Mandate Agreement, which will set out the specific scope of services, fees, and timelines. These Terms apply in addition to, and are incorporated into, any such Engagement Letter.
4. Fees and Payment
Our fees are set out in the relevant Engagement Letter. Unless otherwise agreed:
- Advisory retainers are payable monthly in advance.
- Transaction fees are payable upon successful completion of a transaction.
- All fees are exclusive of VAT, which will be added where applicable.
- Invoices are payable within 14 days of issue.
5. Confidentiality
Both parties agree to keep confidential all non-public information received in connection with an engagement. This obligation survives termination of the engagement for a period of five years. We will not disclose client identities or mandate details without express written consent, except where required by law or regulation.
6. Conflicts of Interest
We maintain a conflicts of interest policy and will notify you promptly if any conflict arises in connection with your mandate. Where a conflict cannot be managed, we will decline to act.
7. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability to you in connection with any engagement shall not exceed the fees paid by you to us in the twelve months preceding the claim.
- We shall not be liable for any indirect, consequential, or special losses.
- Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
8. Intellectual Property
All research, reports, and materials produced by Lutafa remain our intellectual property unless expressly transferred in writing. You may use such materials for your internal purposes only and may not distribute them to third parties without our prior written consent.
9. Termination
Either party may terminate an engagement by giving 30 days' written notice, unless a different notice period is specified in the Engagement Letter. Fees accrued up to the date of termination remain payable.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on this page. Continued engagement with us following any update constitutes acceptance of the revised Terms.
